Using DPSTUDIOS means agreeing to these terms.
By accessing dpstudios.us, submitting a project request, purchasing a service or membership, applying to the DPSTUDIOS Community, creating an account or otherwise using the platform, you agree to comply with these Terms & Conditions and any additional project-specific agreement, proposal, statement of work or policy that applies.
We provide managed creative, digital and technology services.
DPSTUDIOS may provide, coordinate or manage services including branding, design, photography, video production, content, social media, marketing, SEO, paid media, web development, UX/UI, software, AI solutions, automation, technology consulting and related professional services.
Services may be delivered through DPSTUDIOS directly, through Community professionals selected and coordinated by DPSTUDIOS, or through a combination of both.
Client ↔ DPSTUDIOS ↔ Team.
DPSTUDIOS operates as the management layer between the client and the professionals assigned to a project. Unless expressly agreed otherwise, the client relationship is with DPSTUDIOS rather than directly with individual Community members.
DPSTUDIOS may select, replace, add or remove project contributors when reasonably necessary to complete the project, maintain quality, address availability or meet project requirements.
Every project should have a defined scope.
Specific projects may be governed by a proposal, quote, statement of work, project brief or written approval that defines items such as:
- Services and deliverables.
- Estimated timelines and milestones.
- Client price and payment schedule.
- Revision limits or approval stages.
- Client responsibilities and required materials.
- Project assumptions, exclusions and dependencies.
Requests that materially expand the agreed scope may require additional fees, revised timelines or a new project quote.
Memberships provide ongoing access, not unlimited work.
DPSTUDIOS memberships are intended to provide ongoing access to creative, digital, strategic and technology support according to the level of service associated with the selected plan.
Memberships do not necessarily include unlimited production, unlimited revisions or every possible project. Large, complex, highly specialized or resource-intensive work may be classified as a Special Project and quoted separately.
Membership features, capacity, response priorities and included services may evolve as the platform and service model develop. Current plan details shown on the website or in a written agreement should control for the applicable membership period.
Fees are based on the agreed service or membership.
Clients agree to pay the fees stated in the applicable proposal, invoice, membership plan or project agreement. Payment schedules, deposits, recurring charges and due dates may vary by engagement.
Unless otherwise agreed in writing:
- Deposits or initial payments may be required before work begins.
- Recurring memberships may be billed monthly or according to the selected billing cycle.
- Past-due amounts may pause work, access or delivery.
- Third-party expenses, advertising spend, licenses, hosting, software, travel or production costs may be billed separately when applicable.
Payment processing may be handled by third-party providers, bank transfer or other supported payment methods.
Feedback should be timely and consolidated.
Revision rounds, approval windows and production stages may be defined per project. Clients agree to provide timely, clear and reasonably consolidated feedback.
Additional revisions, changes after approval, new concepts, new deliverables or delayed feedback may affect pricing and timelines.
Approval of a deliverable, milestone or production stage may authorize DPSTUDIOS to proceed to the next stage.
Projects require client cooperation.
Clients are responsible for providing information, access, approvals, brand materials, credentials, references, legal permissions and other items reasonably necessary to complete the work.
Clients represent that materials they provide to DPSTUDIOS may lawfully be used for the requested project and do not knowingly infringe the rights of others.
Delays caused by missing information, access, approvals or client decisions may extend project timelines.
Community participation does not guarantee projects.
Professionals who join or apply to the DPSTUDIOS Community may be considered for project opportunities based on skills, experience, fit, availability, reliability, performance and project requirements.
Acceptance into the Community does not guarantee project assignments, minimum income, employment or a specific volume of work.
Unless a separate written agreement states otherwise, Community professionals are responsible for performing assigned work professionally, meeting agreed deadlines and protecting confidential project information.
Ownership depends on the project agreement and payment status.
Unless otherwise agreed in writing, final client-specific deliverables may be transferred or licensed to the client after all applicable fees have been paid.
DPSTUDIOS, Community professionals and third parties may retain ownership of:
- Pre-existing tools, templates, methods, frameworks and know-how.
- Unused concepts, drafts, source materials or working files unless specifically included.
- Third-party fonts, stock assets, software, plugins, music, code libraries or licensed materials subject to separate license terms.
- General skills, techniques and non-confidential knowledge developed through the work.
Any portfolio or promotional use of completed work should be subject to confidentiality obligations and any project-specific restrictions.
Private project information should stay private.
DPSTUDIOS and assigned Community professionals may receive confidential information necessary to perform services. Reasonable steps should be taken to protect confidential business, project and client information.
Community members may receive only the information required for their role and may not receive private commercial information such as total client pricing, DPSTUDIOS margin or unrelated client information unless necessary.
Accounts and tools must be used responsibly.
Users may not use DPSTUDIOS systems to:
- Access another person’s account without authorization.
- Upload malicious code or attempt to interfere with platform security.
- Misuse confidential client, talent or project information.
- Use the platform for unlawful, fraudulent or abusive activity.
- Attempt to bypass DPSTUDIOS’ managed client-team relationship in violation of an applicable agreement.
DPSTUDIOS may suspend or restrict access when reasonably necessary to protect users, projects, the platform or business relationships.
Projects and memberships may have different cancellation rules.
Cancellation, refund, termination and notice requirements may vary according to the applicable project proposal, membership plan or written agreement.
Work already performed, committed production costs, third-party expenses, completed milestones or non-refundable deposits may remain payable even if a project is cancelled.
DPSTUDIOS may terminate or suspend an engagement for non-payment, repeated non-cooperation, abusive conduct, unlawful requests, material breach or circumstances that make continued performance unreasonable.
Creative and business outcomes cannot be guaranteed.
DPSTUDIOS may provide strategy, design, marketing, technology and other professional services, but specific commercial outcomes such as sales, revenue, rankings, advertising performance, audience growth or business success cannot be guaranteed unless expressly stated in writing.
Timelines and estimates may depend on client responsiveness, third-party services, technical dependencies, platform approvals, production conditions and other factors outside DPSTUDIOS’ direct control.
Liability should remain proportionate to the engagement.
To the maximum extent permitted by applicable law, DPSTUDIOS should not be liable for indirect, incidental, special, consequential or speculative damages arising from use of the website, platform or services.
Any additional limitation of liability, indemnification or dispute-resolution terms may be established in a project-specific or membership agreement.
The platform and service model will evolve.
DPSTUDIOS may update these Terms & Conditions as services, memberships, platform features, payment systems, AI functionality or business processes evolve.
The date shown at the top of this page should indicate the latest published version. Material project or membership commitments already agreed in writing should continue to be governed by the applicable agreement unless both parties agree otherwise.
